Job Description

Corporate Secretarial matters for listed Company and subsidiary/affiliates, including:
- Promotion, formation and incorporation of companies and matters related therewith
- Filing, registering any document including forms, returns and applications by and on behalf of the company
- Ensuring all compliance/filing requirements under LODR
- Maintenance of secretarial records, statutory books and registers
- Arranging board/general meetings and preparing Notices/Agenda/Minutes/Resolutions
- All work/activities relating to shares and share capital
- Maintain connect with various stakeholders and ensure speedy resolutions of queries
- Preparation of checklists and tracking amendments to ensure compliance
Compliance:
- Statutory Compliances, Corporate Governance, due diligence matters.
- Tracking compliances for the Company as a whole through an already developed tracking system viz. Legatrix
M&A:
- Mergers and Amalgamations – pre and post preparation and compliances
- Due Diligence for acquisitions
